Partner Terms & Conditions

These Partner Terms ("Agreement") govern your participation in the Freedom Systems LLC ("Company," "we," "us") partner program. By submitting a partner application and checking the agreement box, you accept these terms in full. Participation is subject to manual approval — submitting an application does not guarantee acceptance.

1. Application & Approval

Becoming a partner requires an approved application. After submitting your application, your account will be in Pending Review status. Freedom Systems reviews all applications manually and approves or declines at our sole discretion. You will be notified by email of the decision, typically within 48 business hours. Until your application is approved, you may not use your referral link or claim commissions.

2. Partner Status & Independence

Approved partners are independent contractors — not employees, agents, franchisees, or legal representatives of Freedom Systems LLC. You have no authority to sign contracts, accept payments, make representations, or create obligations on the Company's behalf.

3. Commission Tiers

Upon approval, partners are assigned to the tier they applied for:

Tier 1 — Referral (10%): 10% of the client's first 3 months of retainer payments for each referred client who executes a signed service agreement with Freedom Systems.
Tier 2 — Content (15% + $50/post): 15% commission on the same basis, plus a $50 flat bonus per post approved by Freedom Systems. Post bonuses are capped at $500 per calendar month regardless of posts submitted or approved.
Tier 3 — Paid Ads (20%): 20% commission on the same basis. Ad spend is funded by Freedom Systems LLC only upon prior written approval for each campaign.

Commission rates apply to net retainer amounts actually collected. No commission is owed on amounts disputed, refunded, charged back, or uncollected.

4. Attribution

No referral link record AND no pre-submission on file before first contact = no commission. No exceptions, no retroactive claims.

Attribution is established solely by one of two methods:

Referral Link: The prospect submits a form or books a call through your unique referral URL. Attribution is recorded automatically at submission time.
Pre-Submission: You submit the prospect's name and contact information via the Partner Dashboard before the prospect's first contact with Freedom Systems. The submission timestamp is final. The first partner to submit a given prospect's contact owns attribution for that prospect — conflicts are resolved by timestamp only.

5. Tier Proof & Verification

Tier 2 applicants must provide a link to an active social media profile with existing published content. Tier 3 applicants must provide a link to an active ad account dashboard or a portfolio of prior paid ad campaigns. Submitting false, fabricated, or misleading proof is grounds for immediate permanent suspension and forfeiture of all accrued commissions.

6. Post Bonus Cap (Tier 2)

The $50 per-post bonus is capped at $500 per calendar month. This cap resets on the 1st of each month. Posts submitted in excess of the monthly cap are not eligible for bonus payment. The cap is enforced at the database level.

7. Payment

Commissions are paid on the 1st of each calendar month for prior-month verified earnings.
Minimum payout: $100. Balances below $100 roll to the next month.
Payment is via the method you selected at registration (Venmo, Zelle, or PayPal).
Partners are solely responsible for taxes on commission income. Freedom Systems will issue Form 1099-NEC for partners earning $600+ in a calendar year.
Commission disputes must be raised in writing within 30 days of payment. Disputes raised after 30 days are waived.

8. Content Standards

Content created in connection with your partner activities must not:

Make false or misleading claims about Freedom Systems or its services.
Guarantee specific revenue outcomes, ROI figures, or financial results.
Use the term "AI" in marketing copy — use "automation" or "automated infrastructure" instead.
Be submitted for paid promotion without prior written approval from Freedom Systems.

Freedom Systems may request removal of non-compliant content at any time. Failure to remove within 24 hours of notice may result in suspension.

9. Confidentiality

You may receive non-public information about clients, pricing, systems, or internal processes. You agree not to disclose such information to third parties, use it for competitive purposes, or retain it after termination. This obligation survives termination indefinitely.

10. Prohibited Conduct

The following are grounds for immediate suspension and forfeiture of unpaid commissions:

Submitting false, fabricated, or duplicate referrals or applications.
Misrepresenting tier qualifications or proof documentation.
Making unsubstantiated claims about Freedom Systems' services.
Attempting to circumvent attribution rules or payment systems.
Spamming, harassment, or unsolicited bulk outreach on behalf of Freedom Systems.
Soliciting Freedom Systems clients for competing services.

11. Suspension & Termination

Freedom Systems may suspend or terminate any partner account at any time, with or without cause, with 7 days notice (or immediately for prohibited conduct). Partners may also terminate with 7 days written notice to freedom@freedomsystems.net.

Upon termination, commissions on clients already signed and actively paying will be honored through the end of the 3-month commission window. No commissions are owed on unsigned pipeline leads.

12. Limitation of Liability

Freedom Systems LLC's total liability under this Agreement shall not exceed the total commissions paid to you in the 3 months preceding the claim. The Company is not liable for indirect, incidental, or consequential damages.

13. Governing Law

This Agreement is governed by the laws of the State of Colorado. Disputes shall be resolved in the courts of Denver County, Colorado.

14. Modifications

Freedom Systems may modify these terms with 14 days written notice to your registered email. Continued participation after the notice period constitutes acceptance.
